These Terms of Service ("Terms") govern your use of the Excell Holistics website (nyokanicolesamuels.com), the content on it, and the services offered through it. By visiting this website, signing up for our newsletter, taking the Holistic Wellness Check, purchasing the book, applying for coaching, or otherwise engaging with Excell Holistics, you agree to these Terms.

Excell Holistics is operated by Nyoka Nicole Samuels, MSN Ed, RN, IHC. If you have questions about anything in these Terms, you can reach Nyoka directly at nyoka@nyokanicolesamuels.com.

If you do not agree with these Terms, please do not use this website or our services.

What Excell Holistics offers

Excell Holistics provides holistic wellness coaching, education, and resources designed primarily for nurses and healthcare professionals. Our offerings include:

• Free content — wellness notes (newsletter), blog posts, and the Holistic Wellness Check self-assessment.
• Free events and masterclasses — live group sessions hosted via Luma.
• Books and digital resources — purchased through our payment partner, Stripe.
• 1:1 holistic health coaching — personalized coaching available by application.
• Speaking engagements and team wellness facilitation — by inquiry.

Specific offerings, prices, and availability may change at any time. We will update this website to reflect current offerings.

Eligibility

You must be at least 18 years old to use this website or any of our services. Excell Holistics is designed for adult healthcare professionals and is not intended for minors.

By using this site, you represent that you are at least 18 years of age, have the legal capacity to enter into these Terms, and will use the site and services only for lawful purposes.

Important: this is coaching, not medical care

Excell Holistics offers wellness coaching, education, and support. We are not a medical practice. Nothing on this website, in our emails, in the self-assessment, in our books, or in any coaching session constitutes medical advice, diagnosis, treatment, mental health therapy, psychological counseling, or substitute care for any condition.

Although Nyoka Nicole Samuels is a Registered Nurse and an Integrative Health Coach, when she is acting in her capacity as a coach for Excell Holistics, she is NOT acting as your nurse, your therapist, your doctor, or any other licensed healthcare provider. No nurse-patient relationship, therapist-client relationship, or other clinical relationship is established by your use of this website or our coaching services.

Always seek the advice of your physician, mental health professional, or other qualified healthcare provider with any questions you may have regarding a medical condition, mental health concern, or before making any changes to your treatment, medication, exercise, or nutrition. Never disregard professional medical advice or delay seeking it because of something you read, heard, or discussed through Excell Holistics.

If you are in crisis, experiencing a medical emergency, or having thoughts of self-harm, please call 911 (US), 988 (US Suicide and Crisis Lifeline), or your local emergency services immediately. Excell Holistics is not equipped to provide crisis intervention.

Your information

When you sign up for our newsletter, take the Holistic Wellness Check, apply for coaching, purchase the book, or otherwise contact us, you are responsible for the information you provide. You agree to provide accurate, current, and complete information, and to keep it accurate, current, and complete.

You are responsible for maintaining the security of any login credentials you use to access third-party services connected with us (for example, Stripe for purchases or Calendly for scheduling, if applicable).

How we handle your information is described in our Privacy Policy.

Free content and events

We offer free content — newsletters, the Holistic Wellness Check, blog content, and free events. Access to free content does not create any contractual relationship between you and Excell Holistics beyond your agreement to these Terms and our Privacy Policy.

Free events are hosted through Luma. By registering for a free event, you also agree to Luma's terms and privacy policy. We reserve the right to limit attendance, reschedule, or cancel events. If we cancel an event, we will notify registered attendees and aim to reschedule when possible.

Free content is provided "as is." We do our best to share useful and accurate information, but we make no guarantees about specific results from reading, watching, or participating.

Book purchases

Book purchases are processed through our payment partner, Stripe. When you purchase a book, you also agree to Stripe's terms and privacy policy. We do not see, store, or have access to your credit card or banking information.

Pricing and currency

Prices are listed in US dollars unless otherwise noted. Prices may change at any time, but changes will not affect orders already placed.

Refunds and returns

All book sales are final. Due to the nature of self-published works, we do not offer refunds. If your book arrives physically damaged, please contact us within 7 days of purchase at nyoka@nyokanicolesamuels.com and we will work with you to resolve the issue.

If Nyoka chooses a different policy (for example, a 30-day satisfaction guarantee, refund within an unread window, or store credit only), we will update this section. The policy in effect at the time of your purchase is the one that applies.

1:1 Coaching: applications

To work with Nyoka in a 1:1 coaching capacity, you must complete a coaching application via nyokanicolesamuels.com/coaching. Submitting an application does NOT guarantee acceptance into the coaching program. Nyoka reviews each application personally and will follow up to discuss fit, scope, and next steps.

Nyoka reserves the right to decline any application for any lawful reason, including but not limited to: fit, capacity, scope of need (for example, if Nyoka believes you would be better served by a licensed clinical provider), or readiness.

If Nyoka does not believe coaching is the right fit, she will tell you and, where possible, suggest alternative resources.

1:1 Coaching: services and payment

If your application is accepted and you choose to move forward, you and Nyoka will enter into a coaching engagement. The specifics of that engagement — including session frequency, duration, pricing, payment schedule, and scope — will be agreed upon separately before coaching begins, either in writing or through a signed coaching agreement.

Payment

Coaching fees are due in advance of each session or package as specified in your coaching agreement. Payment is processed through Stripe. Failure to pay may result in suspension or termination of services.

Cancellations and rescheduling

Sessions cancelled with at least 24 hours' notice may be rescheduled within 30 days at no charge. Sessions cancelled with less than 24 hours' notice, or missed entirely, are forfeited and not refunded. Emergencies are handled case-by-case at Nyoka's discretion.

Refunds on coaching

Coaching fees, once paid, are non-refundable. If you wish to discontinue coaching, you may do so at any time, but no refund will be issued for sessions already paid for but not yet used unless explicitly agreed in writing.

Specific coaching engagements may include their own written agreement that supplements or modifies these defaults. If there is a conflict between these Terms and your specific coaching agreement, the coaching agreement governs.

Confidentiality

What you share in coaching sessions is held in confidence. Nyoka will not share the content of your sessions with anyone except as required by law (for example, if there is a serious risk of harm to yourself or others, or as required by subpoena or court order). This confidentiality is professional and ethical — not legally privileged in the way attorney-client or therapist-patient communications are.

Intellectual property

Excell Holistics and its content — including but not limited to text, graphics, logos, images, videos, the book, course materials, the Holistic Wellness Check, frameworks like the Seven Dimensions, and any coaching materials — are the intellectual property of Nyoka Nicole Samuels and/or Excell Holistics, protected by copyright and other intellectual property laws.

What you may do

You may view, read, and personally use the content on this website for your own non-commercial wellness journey. You may share a link to our content. You may quote brief portions of our content with proper attribution to Excell Holistics and Nyoka Nicole Samuels.

What you may not do

Without our prior written permission, you may not:

• Copy, reproduce, or redistribute our content in bulk.
• Use our content, frameworks, or materials to create competing products, services, or training programs.
• Resell, sublicense, or commercially exploit our content.
• Train any artificial intelligence model on our content.
• Remove copyright notices, watermarks, or attribution.
• Reverse engineer, scrape, or systematically extract data from this site.

User conduct

When using this website or our services, you agree NOT to:

• Engage in any unlawful, abusive, harassing, defamatory, or threatening behavior.
• Impersonate any person or misrepresent your affiliation with any person or entity.
• Submit false information through any form on the site.
• Use the site or services in any way that could damage, disable, or impair Excell Holistics or interfere with another user's experience.
• Attempt to gain unauthorized access to any part of the site, accounts, computer systems, or networks connected to the site.
• Use the site or services to send unsolicited communications, advertising, or spam.
• Use any automated means (bots, scrapers, crawlers) to access the site without our prior written permission.

We reserve the right to remove content, suspend access, or terminate your use of the site or services if you violate these conduct rules.

Third-party services and links

Our site uses and integrates with third-party services to deliver our offerings:

• MailerLite for email delivery and list management.
• Stripe for processing payments.
• Luma for free event registration and management.
• Calendly for scheduling 1:1 sessions, where applicable.
• Formspree for relaying coaching application form submissions to Nyoka's inbox.
• GoDaddy for domain registration and website hosting.

Each of these services has its own terms of service and privacy policy that govern your use of them. We do not control these services and are not responsible for their availability, content, or practices. Your use of these services is at your own discretion and subject to their respective terms.

Our site may also link to other third-party websites. We are not responsible for the content, accuracy, or practices of any third-party site.

Disclaimers

The website, content, and services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. To the fullest extent permitted by law, Excell Holistics and Nyoka Nicole Samuels disclaim all warranties, express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Warranties that the site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
• Warranties about the accuracy, reliability, or completeness of any content.
• Warranties that any specific result will be achieved through use of our content or services.

Wellness outcomes vary by individual. What worked for one person may not work for another. We make no guarantees about your specific results from using this site, reading our content, attending events, or participating in coaching.

Limitation of liability

To the fullest extent permitted by law, Excell Holistics, Nyoka Nicole Samuels, and any agents, contractors, or affiliates SHALL NOT BE LIABLE for any indirect, incidental, special, consequential, punitive, or exemplary damages — including but not limited to damages for lost profits, lost data, loss of goodwill, business interruption, emotional distress, or any other intangible losses — arising out of or related to your use of this website, our content, or our services, even if we have been advised of the possibility of such damages.

In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability is limited to the fullest extent permitted by applicable law.

Maximum liability: To the fullest extent permitted by law, the total liability of Excell Holistics and Nyoka Nicole Samuels for any claim arising out of or related to these Terms or your use of the site or services shall not exceed the greater of (a) the amount you paid to Excell Holistics in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

Indemnification

You agree to indemnify, defend, and hold harmless Excell Holistics, Nyoka Nicole Samuels, and any agents, contractors, or affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the website, content, or services.
• Your violation of these Terms.
• Your violation of any rights of another person or entity, including any intellectual property or privacy rights.
• Any content you submit through the website.

Termination

We may suspend or terminate your access to the website or any of our services at any time, with or without cause and with or without notice, including but not limited to violations of these Terms.

You may stop using the website and services at any time. You may unsubscribe from emails at any time using the unsubscribe link in any email.

Sections of these Terms that by their nature should survive termination — including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law — will survive.

Governing law and dispute resolution

Governing law: These Terms are governed by and construed in accordance with the laws of Alabama, United States, without regard to its conflict of law principles.

Jurisdiction and venue: Any legal action or proceeding arising out of or related to these Terms or your use of the site or services shall be brought exclusively in the state or federal courts located in Alabama, and you consent to the exclusive jurisdiction of those courts.

Informal dispute resolution: Before filing any legal action, you agree to first attempt to resolve any dispute by contacting us directly at nyoka@nyokanicolesamuels.com. We will work with you in good faith to resolve the issue within 30 days of your written notice.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire agreement

These Terms, together with our Privacy Policy and any separately signed coaching agreement, constitute the entire agreement between you and Excell Holistics regarding your use of the website and services. They supersede any prior agreements, communications, or proposals on the same subject.

No waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision later. Any waiver of any provision of these Terms must be in writing to be effective.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a sale, merger, or transfer of our business.

Changes to these Terms

We may update these Terms from time to time. When we do, you will be updated via email. For significant changes, we will make reasonable efforts to notify active subscribers and clients by email.

Your continued use of the website or services after changes take effect constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you should stop using the website and services.
